Circular Search is retained by an exciting and ambitious advisory firm, focused on the renewable energy sector, to identify an Investment Manager that is experienced in M&A transactions and complex commercial agreements.

About Our Client

Our client is a dynamic transaction services company that provides expert advisory in investment, divestment, and formation of partnerships, on behalf of leading investment firms, asset managers, venture funds, and owners of private organisations.

Based in Copenhagen, Denmark, our client has assisted in a number of international transactions, including major onshore wind farms and offshore wind developments in Denmark, UK, the US, Taiwan and Australia.

The Opportunity

Our client has identified the need to appoint an Investment Manager that is experienced in M&A transactions and managing deals from origination and due diligence through to negotiation and closing.

The requirement has arisen due to the ongoing success of the firm, the need for further capacity and bandwidth to service existing and future clients, and the ambitious growth plans the CEO has for the company.

The ideal candidate will be a proven legal or finance professional that is experienced in high stakes contract negotiations, M&A, buy- and sell-side transaction management, partnership, and joint venture development, drafting public tender submissions and grant applications, as well as a wide range of complex commercial agreements.

It would be ideal if the successful candidate has experience in the renewable energy industry or a similar sector with transferrable skillset such as, oil and energy, shipping, or real estate. Experience from other sectors will also be welcomed and is therefore an excellent opportunity for those with great interest and enthusiasm for renewable energy to transition to the ‘green side’.

Your Profile

The ideal candidate will be a highly motivated commercial, legal, finance and/or contracts management leader that ideally holds experience in the renewable energy sector or other energy sectors with a specific desire to play an integral role in the green transition.

As the second hire and employee of the firm, you will be integral to the company’s success and contribute to the achievement of the long-term strategic goals. You will be driven by a passion for renewable energy and have an urge to make a difference in the industry and towards the green transition through their expertise.

You should have a personal drive to always deliver high quality and have a sense of accountability towards the company and project, as well as every one of your colleagues and clients.

You will ideally be well connected and have strong interpersonal communication and relationship management skills are essential to influence and manage key stakeholders at all levels. This includes proven joint venture/partnership management, and relevant exposure negotiating and managing a range of transactions and agreements from inception through to close.

Being a strong communicator who can at the same time work collaboratively with the existing business structure, you will be detail orientated and committed to meeting deadlines. It is important that they have a strong contractual understanding, commercial acumen, strategic and legal prowess.

Key Responsibilities

  • You will be responsible for providing expert contractual and commercial advice and guidance to the respective clients, guiding them through complex M&A transaction processes.

  • You will be involved in the legal structuring of deals and transactions, advising clients on the most appropriate solutions.

  • You will draft, review, and negotiate transaction documents, partnership agreements, and commercial contracts.

  • You will lead public tender submissions and grant applications to regional and national governments, as well as other governing bodies.

  • You will be involved in strategic planning and identification of buyers, when representing sell-side, lead the sales process and prepare the required documentation.

  • You will develop relationships with key clients and stakeholders, as well as build a strong network within the industry, including JV partners, banks, lawyers and other advisors.

  • You will play an integral role in the development, strategy, and overall shaping of the business.

  • If of interest, you will identify new business opportunities and promote the company, it’s services, and vision to the industry and prospective clients.

Key Requirements

The ideal candidate will have the following skills, knowledge and experience:

  • Degree educated in Law (LLB, LLM, J.D., PhD etc.), or Finance, and ideally hold an MBA or similar.

  • Hold experience with investors, developers, specialist advisors and consultants, or law firms, with exposure to renewable energy developments and assets such as, onshore and offshore wind, power-to-X, biomass, and solar.

  • Experience in other industries and sectors will also be welcomed. This could include individuals that have an aspiration to transition from infrastructure or conventional energy sectors into renewables.

  • A minimum of 8 years’ postgraduate experience and direct, relevant track record in providing legal and commercial advice in relation to M&A transactions such as; the investment, acquisition and / or divestment of renewable energy assets.

  • Experience in a wide range of contractual and commercial matters across the lifecycle of renewable energy developments from origination and investment through to exit.

  • Experience in drafting public tender submissions and grant applications.

  • Proven in the creation of joint venture/partnership agreements.

  • Ability to analyse complex challenges and develop appropriate solutions that are commercially, strategically and contractually sound.

  • Working closely with both internal and external stakeholders

  • Further to the required commercial experience, the ideal person must be highly motivated and aspire to be integral to the further growth and success of the business.

  • Enjoy working in an international workplace with multi-cultural teams.

  • Professional attitude, high work ethics and high energy level. Flexible style and ability to work under pressure and getting things done both independently as well as in teams.

  • Excellent written and verbal communication skills in Danish and English. Other language skills will be welcomed due to the international portfolio of projects.

  • Proficiency with Microsoft Excel and Powerpoint.

Remuneration and Package

Salary will be dependent on the individual’s experience and expectations, which is to be discussed with Circular Search.
